OVERVIEW

Welcome to DecisionKits! The terms “we”, “us” and “our” refer to DecisionKits. DecisionKits operates this store and website, including all related information, content, features, tools, products and services (the “Services”). DecisionKits is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the “Terms”), together with any policies referenced herein, describe your rights and responsibilities when you use the Services. By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy here. If you do not agree, do not use the Services.

SECTION 1 — ACCESS AND ACCOUNT

You represent that you are at least the age of majority in your place of residence, and you consent to allow any minor dependents to use the Services on devices you own or manage. You agree to provide accurate and current information (e.g., email and billing details) and to maintain the security of your account. You are responsible for all activity under your account and may not transfer or sell it.

SECTION 2 — OUR PRODUCTS (DIGITAL CONTENT)

We offer digital products (e.g., templates, spreadsheets, toolkits). We make reasonable efforts to describe them accurately, but minor differences may occur (e.g., visual differences by device). Product descriptions, features, and availability may change without notice, and we may limit sales by person, region, or jurisdiction.

Unless otherwise stated, your purchase grants a non-exclusive, non-transferable license for internal business use by a single company. You may not resell, redistribute, sublicense, or publicly share our files. See Section 6 (Intellectual Property).

SECTION 3 — ORDERS

Placing an order is an offer to purchase. We may accept or decline any order at our discretion. Your order is accepted when we confirm and successfully process your payment. Your purchases are subject to our Refunds Policy here. You represent that purchases are for your own internal use and not for commercial resale.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions may change without notice. The price charged will be the price in effect at checkout and in your confirmation email. Prices typically exclude taxes and any applicable fees. You agree to provide current payment information and authorize charges to your payment method. You are responsible for all applicable taxes.

SECTION 5 — DIGITAL DELIVERY (NO SHIPPING)

All items are digital downloads. After checkout, you’ll receive instant access via the confirmation page and/or email with download links. Links may expire; please back up your files. There is no physical shipment and no risk of loss transfer to a carrier.

SECTION 6 — INTELLECTUAL PROPERTY & LICENSE

All content on the Services (including templates, designs, formulas, documentation, and branding) is owned by DecisionKits and its licensors and protected by intellectual property laws. Your purchase grants a limited license to use the digital product internally within your company. You may modify a file for your internal use, but you may not resell, redistribute, sublicense, publish, or otherwise make the original or modified files available to third parties. All rights not expressly granted are reserved.

DecisionKits’ names, logos, designs, and slogans are trademarks of DecisionKits or its affiliates. You may not use them without prior written consent.

SECTION 7 — OPTIONAL TOOLS

We may offer access to third-party tools “as is” and “as available.” We do not control such tools and are not responsible for their terms, performance, or availability. Your use of third-party tools is at your own risk and discretion.

SECTION 8 — THIRD-PARTY LINKS

The Services may contain links or materials from third parties. We are not responsible for their content, policies, or practices. Review their terms before engaging in any transaction.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

DecisionKits is powered by Shopify. Sales are between you and DecisionKits, not Shopify. By using the Services, you acknowledge that Shopify is not responsible for your purchases or any related claims, and you release Shopify and its affiliates from such claims.

SECTION 10 — PRIVACY POLICY

Your use of the Services is subject to our Privacy Policy  and to Shopify’s privacy practices. Because the Services are hosted by Shopify, certain personal information is processed by Shopify and other providers (possibly outside your country). See our Privacy Policy for details.

SECTION 11 — FEEDBACK

If you submit feedback or reviews, you grant us a worldwide, sublicensable, royalty-free license to use and display them to operate, improve, and promote the Services. You represent that you have rights to your feedback and that it complies with these Terms and applicable law.

SECTION 12 — ERRORS, INACCURACIES AND OMISSIONS

We may correct errors or update information (including pricing and availability) at any time without notice, including after you submit an order.

SECTION 13 — PROHIBITED USES

You may use the Services for lawful purposes only and not in ways that harm the Services or others (e.g., infringing IP, spreading malware, scraping, spamming, circumventing security, or misrepresenting identity). We may suspend or terminate access for violations.

SECTION 14 — TERMINATION

We may terminate or suspend the Services or your access at any time. Sections that by their nature should survive termination do so (including IP, license, limitations of liability, indemnity, and governing law).

SECTION 15 — DISCLAIMER OF WARRANTIES

Except as expressly stated by DecisionKits, the Services and digital products are provided “as is” and “as available” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain disclaimers; if so, those do not apply to the extent prohibited by law.

SECTION 16 — LIMITATION OF LIABILITY

To the fullest extent permitted by law, DecisionKits and its affiliates, officers, employees, agents, contractors, service providers, and licensors are not liable for indirect, incidental, special, consequential, punitive damages, or loss of profits, revenue, data, or business, arising from or related to your use of the Services or digital products. Our total liability will not exceed the amount you paid for the product giving rise to the claim.

SECTION 17 — INDEMNIFICATION

You agree to indemnify and hold harmless DecisionKits and its affiliates, officers, employees, agents, and service providers from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, violation of law, or misuse of the Services or digital products.

SECTION 18 — EU/UK DIGITAL CONTENT (COOLING-OFF)

If you are in the EU/UK: by starting the download, you request immediate supply of digital content and agree to waive your 14-day right of withdrawal for that content. If you do not start the download, you may exercise your statutory withdrawal right within 14 days.

SECTION 19 — REFUNDS (DIGITAL)

There are no physical returns. Refunds may be approved within 14 days if (a) you have not downloaded any files, or (b) the file is defective or materially not as described and we cannot remedy the issue. To request a refund, email us with your order number and details. If approved, refunds are processed to your original payment method; your bank may take up to 10 business days to post the credit. SECTION 20 — WAIVER; ENTIRE AGREEMENT

Our failure to enforce a provision is not a waiver. These Terms and policies referenced herein are the entire agreement between you and us and supersede prior agreements regarding the Services.

SECTION 21 — ASSIGNMENT

You may not assign these Terms without our prior written consent. We may assign or transfer these Terms without notice.

SECTION 22 — GOVERNING LAW

These Terms are governed by the laws of Portugal. You and DecisionKits agree to the exclusive jurisdiction and venue of the competent courts located in Lisbon, Portugal, unless mandatory law specifies otherwise.

SECTION 23 — HEADINGS

Headings are for convenience only and do not affect interpretation.

SECTION 24 — CHANGES TO TERMS

We may update these Terms by posting a revised version with a new effective date. Material changes will be notified as required by law. Continued use of the Services after changes constitutes acceptance.
